  2. MINUTES OF ANNUAL MEETING OF THE SHAREHOLDERS OF Printers Express,
  3. Inc.
  4.  
  5. Pursuant to regular notice, dated June 21, 1994, the annual
  6. meeting of shareholders of Printers Express, Inc. was held at 6704
  7. Executive Drive, Little Rock, Arkansas 44587 on July 31, 1994 at
  8. noon.
  9.  
  10. A quorum of shareholders attended, as shown by the attached
  11. roster. Proxies (if any) were examined and admitted as shown by
  12. the attached roster.
  13.  
  14. The meeting was called to order by the meeting's chairman, Chris
  15. Strange.
  16.  
  17. The first order of business was election of officers for the next
  18. year.
  19.  
  20. The following were nominated for the elected offices as indicated:
  21.  
  22. President: Chris Strange, Elizabeth Clough, Donna Walker
  23.  
  24. Secretary: Grady Jackson, Quincy Marx, Loren Weiner
  25.  
  26. Chairman of the Board: Bart Douglas, Elizabeth Bertaut
  27.  
  28. Each candidates nomination was seconded, and after balloting, the
  29. following individuals were elected to the offices indicated:
  30.  
  31. President: Elizabeth Clough
  32.  
  33. Secretary: Loren Weiner
  34.  
  35. Chairman of the Board: Elizabeth Bertaut
  36.  
  37. Thereupon, the newly elected officers assumed their positions, and
  38. the financial statements for the previous years operations were
  39. reviewed.

  42. A dividend of $ 5.00 ( five & no/100 dollars) was declared per
  43. share, and the officers of the corporation directed to pay the
  44. same to shareholders of record as of October 31, 1994.
  45.  
  46. There being no further business to come before the meeting the
  47. same was adjourned.
